The Digitalization of EU Company Law: Balancing Cross-Border Corporate Mobility with Regulatory Integrity in the Single Market

Abstract

The digitalization of EU company law has successfully reduced barriers to cross-border corporate mobility through online incorporation, the once-only principle, and BRIS. However, it has also created vulnerabilities, particularly the "weakest link" problem where Member States with weak verification standards enable fraud and money laundering. The research concludes that digitalization achieves mobility but compromises regulatory integrity unless accompanied by harmonized identity verification under eIDAS 2.0, integrated AML frameworks, and robust preventive controls.
