In this essay I present the basic legal backgrounds of executive officers’ duties and liabilities. Since the issue of executive officers’ duties and liabilities is a quite complicated one, I concentrate only on the general issues in the first half of the essay, while I shed light on the Hungarian rules on the basis of this legal measures in the second.
